This Golden Sack Club Membership & Subscription Policy (“Membership Policy”) explains the terms and conditions that apply to your enrollment in and use of the NADS Golden Sack Club membership program (the “Membership”).

This Membership Policy is a part of, and is incorporated by reference into, the NADS Terms of Service (the “Terms of Service”). If there is any conflict between this Membership Policy and the Terms of Service, this Membership Policy will govern solely with respect to the Membership. By purchasing, enrolling in, or using the Membership, you agree to be bound by this Membership Policy and the Terms of Service.

If you do not agree to this Membership Policy, do not enroll in or use the Membership.


1. Overview of the Golden Sack Club Membership

The Golden Sack Club is a members-only offering that provides access to exclusive benefits, perks, and/or rewards as described on the Golden Sack Club FAQ and program pages on our website (collectively, the “Membership Benefits”).

  • The Membership is offered by NADS, LLC (“NADS,” “we,” “us,” or “our”).

  • Membership Benefits may change from time to time at our discretion, as described in this Membership Policy.

  • The Membership is available to individual consumers for personal, non-commercial use only.

2. Eligibility

To enroll in the Membership, you must:

  • Be at least the age of majority in your state or province of residence; and

  • Provide a valid email address and an eligible payment method that we accept.

By enrolling, you represent and warrant that you meet these eligibility requirements and that all information you provide is truthful and accurate.


3. Membership Fees, Billing & Automatic Renewal

3.1 Membership Fees

To receive Membership Benefits, you must pay the Membership fee disclosed to you at checkout and/or on the Golden Sack Club program page at the time you enroll (the “Membership Fee”). The Membership Fee is non-refundable, except as expressly set forth in this Membership Policy or as required by applicable law.

  • The Membership is generally billed on an annual basis.

  • Taxes may apply to the Membership Fee and will be added to your order where required by law.

We may change the Membership Fee from time to time as permitted under Section 7 (Changes to Membership and Fees) below.

3.2 Automatic Renewal and Recurring Billing

The Membership is an automatically renewing subscription. When you enroll in the Membership:

  • You are purchasing an auto-renewing Membership with a recurring annual billing period (unless otherwise clearly disclosed at checkout).

  • Your Membership will automatically renew at the end of each Membership period for an additional period of the same length (for example, annually) unless and until you cancel.

  • Until you cancel, you authorize NADS to charge the then-current Membership Fee (plus applicable taxes) on a recurring basis using any eligible payment method we have on file for you.

If all eligible payment methods on file for you are declined, you must promptly provide a new eligible payment method or your Membership may be cancelled. If we successfully charge a new payment method after a prior failure, your new Membership period will be based on the original renewal date, not the date of the successful charge.


4. Post-Purchase Confirmation

After you enroll in the Membership, we will send you a confirmation communication (for example, by email) in a form you can retain. This communication will include:

  • Confirmation that you have enrolled in an auto-renewing subscription;

  • The Membership billing period (for example, annual) and the Membership Fee (plus tax, where applicable);

  • The renewal cadence (for example, renews automatically every year); and

  • Information on how to manage or cancel your Membership and how to contact us.


5. Membership Renewal Reminders (California Annual Plans)

If your billing address is in California and your Membership renews on an annual basis, we will send you a renewal reminder notice within the time periods required under applicable California law (currently 15–45 days before the renewal date for annual plans).

This renewal reminder will:

  • State that your Membership is set to renew automatically;

  • Include your renewal date;

  • Include the renewal price (Membership Fee) and how it will be charged; and

  • Provide information on how to cancel, including a direct method or link where available.

We may send this reminder to the email address or other contact details associated with your account.


6. Cancellation: How to Cancel Your Membership

You may cancel your Membership at any time, effective at the end of your current paid Membership period.

6.1 Self-Serve Online Cancellation (Click-to-Cancel)

You can cancel your Membership online by:

  1. Logging into your NADS account on our website;

  2. Navigating to your Membership or Golden Sack Club settings (or similar area); and

  3. Selecting “Cancel Membership” (or a similarly labeled option) and following the prompts to complete cancellation.

Cancellation should be available in a small number of clear steps, without requiring you to contact us by phone or chat in order to cancel.

6.2 Cancellation by Email

If you prefer, you may also cancel by emailing us at support@nadsunder.com from the email address associated with your account and clearly stating that you wish to cancel your Golden Sack Club Membership.

6.3 Effect of Cancellation

If you cancel your Membership:

  • Your Membership will remain active through the end of the then-current paid Membership period;

  • You will not be charged any further Membership Fees after the end of that period; and

  • You will continue to have access to Membership Benefits only during your current paid Membership period.

After your Membership ends, you will no longer have access to Membership Benefits, and any benefits that are contingent upon an active Membership (including eligibility to earn or use certain store credits or discounts) will cease.


7. No Refunds Policy

Except where required by applicable law or as we may otherwise expressly state in writing:

  • Membership Fees are non-refundable, including if you cancel your Membership before the end of your current Membership period; and

  • We do not provide pro-rated or partial refunds for unused time in a Membership period or for unused Membership Benefits.

This no-refund policy applies to all Membership Fees unless otherwise expressly mandated by law.


8. Changes to Membership, Fees, and This Policy

We may, in our discretion, modify the Membership, the Membership Benefits, the Membership Fee, or this Membership Policy from time to time.

Where required by law (including for California residents with annual Memberships):

  • We will provide you with advance notice in a form you can retain (for example, by email) of material changes to the terms or to the Membership Fee, including the effective date of such changes; and

  • If we are increasing the Membership Fee or making other changes that materially affect your Membership, we will notify you within the timeframes required by law before the changes apply to your next renewal.

If you do not agree to any updated terms or fee changes, your remedy is to cancel your Membership before the change becomes effective. Your continued Membership after the effective date of any changes constitutes your acceptance of the updated terms.


9. Termination by NADS

We may terminate your Membership at our discretion, including for reasons such as suspected fraud, misuse of the Membership, or violation of this Membership Policy, the Terms of Service, or applicable law.

  • If we terminate your Membership for reasons other than your breach or misuse, we may, at our discretion, provide you with a prorated refund based on the number of full months remaining in your current Membership period.

  • If we terminate your Membership due to your violation of this Membership Policy, the Terms of Service, or applicable law, or due to fraud or misuse that we determine in our discretion to be harmful to NADS or others, no refund will be provided.

Our failure to insist upon or enforce strict compliance with this Membership Policy on any occasion is not a waiver of any rights we may have.


10. Store Credits Associated with the Membership

As a benefit of your Membership, you may receive store credit that can be used to purchase eligible products or services through our website (“Store Credits”).

Unless otherwise expressly stated:

  • Store Credits may be earned, granted, or issued only as described in the Golden Sack Club program materials or through specific promotions;

  • Store Credits are not cash, not gift cards, and not gift certificates, except to the extent required by applicable law;

  • Store Credits may be used only for eligible purchases on our website and may not be redeemed for cash, credit, or gift cards (except where required by law);

  • Store Credits are generally valid for 180 days from the date they are earned or issued, after which they expire and are forfeited if unused; and

  • Store Credits cannot be transferred, sold, or assigned, and cannot be re-credited or replaced if lost, stolen, or used without authorization, except as required by law.

We may modify, suspend, or cancel any Store Credits if we reasonably believe they were issued or obtained in error, through fraud, or in violation of this Membership Policy, the Terms of Service, or any applicable promotion terms.


11. Limitation of Liability (Membership)

In addition to the Disclaimer of Warranties; Limitation of Liability in the Terms of Service, and to the maximum extent permitted by law:

  • Our total liability to you arising out of or relating to your Membership, whether in contract, warranty, tort (including negligence), strict liability, or any other legal theory, will not exceed the last Membership Fee you paid to us.

  • This limitation of liability applies to all claims arising from or related to your Membership, including any claim that we failed to comply with applicable automatic renewal or subscription laws, and survives cancellation or termination of your Membership.

Some jurisdictions do not allow limitations on certain types of damages or liability, so the above limitations may not apply to you to the extent prohibited by law.


12. California Automatic Renewal Terms (California Residents)

If your billing address is in California, the following additional terms are intended to comply with California’s automatic renewal and subscription protections and apply to your Membership:

  1. Clear Auto-Renewal Terms at Signup. Immediately before you complete your purchase, we will clearly disclose that:

    • The Membership is an auto-renewing subscription;

    • The billing period (for example, annual);

    • The price of the Membership and that charges will recur until you cancel;

    • That no refunds of Membership Fees are provided, except as required by law; and

    • How you can cancel (for example, via your account portal and/or by email).

  2. Affirmative Consent. At checkout, we will obtain your express, affirmative consent to the automatic renewal terms (for example, via an unchecked checkbox that says “I agree to the auto-renewing membership terms” or similar).

  3. Post-Purchase Acknowledgment. After purchase, we will send a confirmation in a retainable form (for example, by email) that includes the auto-renewal terms, price, renewal cadence, cancellation instructions, and contact information.

  4. Annual Renewal Reminder. For annual Memberships, we will send you a renewal reminder 15–45 days before your renewal date, which includes the fact that renewal is upcoming, the renewal date, the renewal price, and how to cancel, as described in Section 5 of this Membership Policy.

  5. Easy Cancellation (Click-to-Cancel). You may cancel online in a simple, user-friendly manner without being required to call or engage in unnecessary steps, as described in Section 6.

To the extent of any conflict between this Section 12 and other parts of this Membership Policy or the Terms of Service, this Section 12 will control for California residents solely with respect to automatic renewal of the Membership and related rights.


13. Relationship to Other Policies

This Membership Policy supplements, and does not limit, our:

  • Terms of Service;

  • Privacy Policy; and

  • Any other applicable policy or terms referenced on our website or in Membership-specific materials.

If you purchase NADS products or services that are not part of the Membership, those purchases remain subject to our standard Terms of Service and other applicable policies.
